General Rules and Guidelines

Eligibility: You must be at least 18 years old to use our services.

Account Responsibility: You are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account. You are also responsible for configuration choices made within your account, including activation or use of automation features.

Prohibited Activities:

You agree not to engage in any of the following prohibited activities:

Violating any applicable laws or regulations

Engaging in fraudulent or deceptive practices

Infringing on our intellectual property rights or the rights of others

Transmitting harmful code or viruses

Engaging in any activity that disrupts or interferes with our services

Using the services in a manner that violates communication platform policies or applicable regulations governing outreach activities.

Use of Automation & Communication Tools
JLW Online LLC provides configuration, customization, and technical support for CRM systems, workflow automation, and communication tools used by the Client. These systems function as configurable tools made available for the Client’s independent business use.

The Client independently determines whether to enable, disable, or utilize automation features and when to initiate communications with its leads, customers, or contacts. JLW Online LLC does not originate communications and does not act as a sender, broadcaster, or telemarketing service on the Client’s behalf.

The Client retains full control over operational settings, campaign activation, and outreach decisions within the systems configured for its use.

Client Data & Outreach Responsibility
The Client is solely responsible for the origin, accuracy, and lawful use of all contact data, lead information, and customer records used within the services.

The Client determines which individuals to contact and represents that it has the appropriate rights or permissions to do so. JLW Online LLC does not independently verify lead consent or validate third-party data sources and relies on the Client’s representations regarding its outreach practices.

The Client is responsible for reviewing and determining whether to act upon leads or contact records before initiating communications.

The services are technical and administrative in nature and are implemented at the Client’s direction.

Disclaimers of Liability

No Warranties: Our services are provided "as is" and "as available" without any warranties of any kind, either express or implied. We do not warrant that our services will be uninterrupted, error-free, or secure.

Limitation of Liability: To the maximum extent permitted by law, JLW Online LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

Your use or inability to use our services

Any unauthorized access to or use of our servers and/or any personal information stored therein

Any bugs, viruses, trojan horses, or similar issues transmitted to or through our services by any third party

Any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through our services.

JLW Online LLC is not responsible for the content of communications, the selection of recipients, or the timing of messages initiated by the Client using configured systems. All such decisions are made solely by the Client.

Limitations on Use of Content and Services

License: We grant you a limited, non-exclusive, non-transferable, and revocable license to access and use our website and services for your personal or informational purposes, subject to these Terms.

Restrictions: You agree not to reproduce, duplicate, copy, sell, resell, or exploit any portion of our services without our express written permission.

Intellectual Property Rights

Ownership: All content, features, and functionality (including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, and software) available on our website are the exclusive property of JLW Online LLC or its licensors and are protected by intellectual property laws.

Trademarks: The trademarks, logos, and service marks displayed on our website are the registered and unregistered trademarks of JLW Online LLC. You may not use these trademarks without our prior written permission.

Financial Arrangements (For Client-Partners)

Minimum Commitment & Cancellation Policy

By subscribing to this service, you agree to the following:

Minimum Commitment: This service requires a minimum of three (3) paid monthly billing cycles. Billing begins following any agreed setup or onboarding period.

Early Cancellation: If you cancel prior to completing the three paid months, you agree to pay the remaining balance immediately upon cancellation. No services will be provided beyond that point.

Ongoing Subscription: After the initial commitment is fulfilled, the subscription continues month-to-month and may be cancelled at any time with no further obligation.

Acceptance of Terms: Submitting payment constitutes acceptance of these terms and enters you into a binding agreement with JLW Online LLC.

Refunds

Our refund policy, if any, will be specified in the relevant contract or service agreement. Unless otherwise stated, all payments are non-refundable.

Additional Fees & Variable Charges

Certain services may involve usage-based charges, payment processing costs, or other variable fees depending on how the services are utilized or paid for.

Unless expressly stated otherwise in writing:

Such fees are separate from any quoted service or project price.

JLW Online LLC reserves the right to apply, adjust, or pass through such fees as applicable to the Client’s use of the services or chosen payment method.

Client is responsible for all charges associated with its use of the services and selected payment arrangements.

Post-Termination Access & Retention

Upon cancellation or completion of service, client access to the JLW Online CRM platform, automation tools, and any licensed infrastructure will be suspended unless otherwise agreed.

Ownership: Custom-built assets such as website copy, funnel content, branded graphics, and ad creatives are transferable upon request and may be provided in downloadable format.

Retention Option: If the client wishes to retain access to the CRM system and/or automated campaigns without active service or optimization, a platform access fee of $497/month will apply, subject to continued compliance with these Terms.

This option must be requested and approved prior to cancellation to avoid service interruption.

Service-Specific Terms for Certain Offers

From time to time, JLW Online LLC provides fixed-scope implementation or project-based services (“Project Services”) separate from subscription offerings.

For any Project Service, additional terms specific to that service (the “Service-Specific Terms”) apply and are incorporated into these Terms by reference.

If you purchase a Project Service, you agree to the applicable Service-Specific Terms, which are available here:

Phase 1: Foundational Systems Build Terms

In the event of any conflict between these Terms of Service and the Service-Specific Terms, the Service-Specific Terms control for that Project Service only.

Payment for such services constitutes acceptance of both these Terms and the applicable Service-Specific Terms.
